Terms of Use

The following Terms of Use (“Terms”) govern all use of the W.A.R.D. products (website and iOS/Android mobile app) and all content, services, and products available at or through the website or mobile app (collectively as “Services” or “WARD”). W.A.R.D. LLC owns and operates the Services. The products are offered subject to your acceptance without modification of all the Terms contained herein and all other operating rules and policies (including, without limitation, the W.A.R.D. Privacy Policy).

These Terms form an agreement between you and W.A.R.D. LLC, a Ukrainian company. By using our Services or registering an account with W.A.R.D., you agree to these Terms.

If you disagree with these terms, please refrain from using the Services.

Changes to these Terms or our Services

We may update these Terms or any additional terms that apply to W.A.R.D. products from time to time. We will notify you of changes and their effective date via a notice in the product at https://ward.ai/terms. Any changes will only apply to our continued relationship. If you disagree with the changes, you must stop using our Services.

We advise you to check these Terms periodically for updates or changes that may impact you.

Services provided

W.A.R.D. automatically monitors and checks added websites and URLs at predefined intervals. Once an issue is detected, you will be notified via mobile push notification.

The monitoring methods include:

• Domain Expiration monitoring;
• SSL Certificate expiration;
• Uptime/Downtime URL monitoring.

W.A.R.D. reserves the right to change the scope of services in the free plan and establish paid plans.

Account Terms

You must be 18 years or older to use the Service.
You may provide a valid business email address and any other information needed to complete the registration process.
It is your responsibility to keep your password secure. W.A.R.D. cannot and will not be liable for any loss or damage resulting from your failure to maintain the security of your account and password.
You may not use the Service for any illegal or unauthorized purpose, and you may not violate any laws in your jurisdiction while using the Service.
You must not give third parties access to your account.
Your account will be immediately terminated if you breach or violate any of the Account Terms, Terms of Use, or Privacy Policy, as determined in the sole discretion of W.A.R.D.
Feedback. We value and appreciate your feedback on our Services and any content you generate on the Services, but you agree that we may use it (even if your account is deleted) to provide, maintain, develop, and improve our Services without compensating you.

Fees

Temporary W.A.R.D. is free of charge.

W.A.R.D. reserves the right to change the payment terms (including fees) for using W.A.R.D., and you will be notified about any such changes additionally.

Intellectual Property

These Terms do not transfer any W.A.R.D. or third-party intellectual property from W.A.R.D. to you, and all rights, title, and interest in and to such property will remain (as between the parties) solely with W.A.R.D.

W.A.R.D., the W.A.R.D. logo, and all other trademarks, copyrights, service marks, graphics, logos, software, etc., used with W.A.R.D. or the products are Intellectual Property of W.A.R.D. or W.A.R.D.'s licensors.

Other trademarks, copyrights, service marks, graphics, logos, software, etc., used with the products may be intellectual property of other third parties.

Use of the products does not grant you any right or license to reproduce or otherwise use any trademarks or other intellectual property of W.A.R.D. or third parties.

Cancellation and Termination

You may cancel your account at any time.
Upon canceling your account, all your content will be deleted from the Service. Since the deletion of all data is permanent, please make sure you want to cancel your account before proceeding.
We reserve the right to modify or terminate your W.A.R.D. account at any time without notice.

Fraud: Without limiting any other remedies, W.A.R.D. may suspend or terminate your account if we suspect fraudulent activity related to it.

Changes

W.A.R.D. reserves the right, at its sole discretion, to modify or replace any part of these Terms.

It is your responsibility to check these Terms periodically for changes.

Your continued use of or access to the products after posting any changes to this Agreement constitutes acceptance of those changes.

W.A.R.D. may also, in the future, offer new services and/or features through the products (including the release of new tools and resources). Such new features and/or services shall be subject to the terms and conditions of this Agreement.

No Resale or Redistribution

Except as expressly authorized by W.A.R.D., you agree not to reproduce, duplicate, copy, sell, trade, resell, modify, create derivative works, or exploit for any commercial purposes any portion of the use of the products or access to the products or the products code.

If you wish to use W.A.R.D. for commercial purposes, please email us directly at to discuss a custom deal.

It is possible to buy any of the products for another account. Billing details and invoices will be stored under the upgraded account.

W.A.R.D. has the right to suspend or terminate your use and refuse any and all current or future use of the service (or any part thereof) if you fail to comply with these terms or if W.A.R.D. has reasonable grounds to suspect that you are not complying with these terms.

Indemnification

You agree to indemnify and hold harmless W.A.R.D. and their respective directors, officers, employees and agents from and against any and all claims and expenses, including attorneys' fees, arising out of your use of the products, including, but not limited to, your violation of this Agreement.

Limitation of Liability

In no event will W.A.R.D., or its suppliers or licensors, be liable concerning any subject matter of this agreement under any contract, negligence, strict liability, or other legal or equitable theory for:

• any special, incidental, or consequential damages (including, but not limited to, false notifications, lack of notification that has caused losses to the user, its website, business, or infrastructure);
• the cost of procurement for substitute products or services;
• interruption of use or loss or corruption of data;
• any amounts that exceed the fees paid by you to W.A.R.D. under this agreement during the twelve (12) month period prior to the cause of action.

W.A.R.D. shall have no liability for any failure or delay due to matters beyond their reasonable control. W.A.R.D. does not take warranties for this.

The foregoing shall not apply to the extent prohibited by applicable law.

Advertisements

W.A.R.D. reserves the right to display advertisements on your account.

Responsibility and Warranty

You are responsible for using the Services in strict accordance with the W.A.R.D. Privacy Policy, these Terms, and all applicable laws and regulations, as well as using the Services with respect for the intellectual property rights of W.A.R.D. and any third party.

Miscellaneous

This Agreement constitutes the entire agreement between W.A.R.D. and you concerning the subject matter hereof, and it may only be modified by a written amendment signed by an authorized executive of W.A.R.D. or by the posting by W.A.R.D. of a revised version.

Except to the extent applicable law, if any, provides otherwise, this Agreement and any access to or use of the products will be governed by the laws of Ukraine, with disputes resolved in local courts.

You may assign your rights under this Agreement to any party that consents to and agrees to be bound by its terms and conditions.

W.A.R.D. may assign its rights under this Agreement without condition.

This Agreement will be binding upon and will inure to the benefit of the parties, their successors, and permitted assigns.

Disclaimer

THIS SERVICE IS PROVIDED "AS IS" AND ANY EXPRESSED OR IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, ARE DISCLAIMED. IN NO EVENT SHALL WE BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE, DATA, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

Some countries and states may not allow the disclaimer of certain warranties or the limitation of certain damages, so some or all of the above terms or conditions may not apply to you, and you may have additional rights. In this case, these Terms limit our liability only to the maximum extent permitted in your country of residence.

These Terms shall be governed by the laws of Ukraine, excluding conflict of laws principles. Except as otherwise provided by applicable law, all claims arising out of or related to these Terms will be resolved exclusively in the courts of Kharkiv city, Ukraine.
